Incorporation

Starting your company involves a few key steps:

  1. State formation: First, we’ll form your company in Wyoming. This usually takes 1-2 business days.
  2. EIN number: After your company is officially formed, we’ll help you get your Employer Identification Number (EIN).

You don’t need a US Social Security Number (SSN) to get an EIN, but if you have one, it can speed things up significantly.

  • Timeline with SSN: Same day as when the company is incorporated
  • Timeline without SSN: Typically around 2-6 weeks

Note: EIN processing timelines are entirely dependent on the IRS and may exceed 6 weeks. The IRS does not have a way to expedite the process.

Don’t worry — our process is designed to keep things flexible for you. Once you purchase a package, you’ll be able to schedule a consultation (which is included in the package) with us. During the consultation, we’ll review your needs and ensure you’ve chosen the right company type. If another option turns out to be a better fit, our specialists can adjust your package type. Yes, as a non-US resident, you can be the sole owner of a US LLC or C Corporation (C Corp) without any issues. However, S Corporations (S Corps) are different — only US citizens or residents can own them. So, while you have full ownership options with an LLC or C Corp, S Corps are off-limits unless you’re a US resident or citizen.

In order to form a US company, we would only need the basic information of the business itself. Like the name of the company, the services/products offered and the owner’s personal information. In case you want us to assist you in applying for the business bank account, we will need the scan of the owner’s passport as well.

Tax & compliance

It depends on your specific situation. Your tax obligations are determined by the nature of your business activities and how they are connected to the US.

Generally, if your US company does not have US-connected income, you won’t owe US taxes. However, certain factors, such as having a physical office, warehouse, or shipping products into the US (not just within the US), can create tax obligations. Simply selling to US customers does not automatically result in tax liability, as long as you do not live, employ staff, or conduct business activities within the US.

If you are providing solely digital products or services to US customers, with all work done fully remotely outside the US, you most likely won’t owe any US taxes.

Yes, most foreign-owned US companies do need to file a tax return in the US even if they are not paying any taxes.

We used to offer free consultations, but many were canceled at the last minute, which took time away from our clients and those serious about working with us. By charging a small fee, we ensure that our time is spent helping people who are genuinely ready to move forward.

Companies are set up by our incorporation specialists, not by the tax accountants. But the tax accountant can help you decide what the best business structure is for your business and compare the tax implications of different entities.

Most likely, a consultation was assigned to another specialist or accountant, because the additional information you provided to us to prepare for the consultation indicated that the other person is a better fit for your specific needs, e.g. an expert in e-commerce related tax.

You receive an invitation to a Google Meets event. As a default, we don’t have the camera enabled, so it will be a voice call. If a voice call is not possible for you, please contact us for other options.

Account

We use Box.com, a secure platform, for sharing and managing documents. After your consultation, you’ll receive an email invitation to access your personal folder if one hasn’t been created for you yet. This folder allows you to upload and view all shared files in one place, ensuring smooth and secure communication with our team.

Your data is fully protected with 256-bit encryption, and we avoid sharing sensitive details through email for added privacy.

If you want to view your purchases, you can do so under the account you created on our website.

To create an account on our website, you have two options:

  1. During checkout: When placing an order, you’ll have the option to create an account as part of the checkout process. Simply check the box to create an account and provide a password.
  2. After checkout: If you didn’t create an account during checkout, you can do so later by visiting the My Account page on our website and signing up with the email you used for your purchase.
